Draft — not lawyer-reviewedThis document is a working draft template prepared for this build. It has not been reviewed by a qualified lawyer in any jurisdiction, it does not yet identify the governing jurisdiction or the contracting parties, and it must not be relied upon as a binding agreement. Before any real transaction, a qualified legal professional must complete, adapt, and approve it.

1. Who you are contracting with

The marketplace is operated by Nexus Acquisitions, a sole proprietorship, trading under the brand AURA CAPITAL. AURA CAPITAL is not a separate legal entity. References to "we", "us", and "the marketplace" mean Nexus Acquisitions acting under that brand.

2. What the marketplace is

The marketplace is a software platform that collects seller submissions, screens them against a published eligibility rule, records buyer applications and confidentiality acknowledgments, presents confidential listing summaries, and provides access-controlled workspaces for introductions and diligence.

3. What the marketplace is not

  • It is not a bank, escrow agent, broker-dealer, or licensed financial institution.
  • It does not hold, transfer, or safeguard funds.
  • It does not provide legal, tax, accounting, or investment advice.
  • It does not verify financial figures at intake.
  • It does not guarantee that a listing is accurate, that a buyer exists, that a valuation is correct, or that a transaction will complete.
  • It does not act as an agent for either party unless a separate written agreement says so.

4. Eligibility to use the marketplace

You must be at least 18 and legally able to enter into contracts. If you act for an entity, you confirm you have authority to bind it. You must provide accurate information and keep it current.

5. Accounts and security

You are responsible for your credentials and for activity under your account. Notify us immediately if you believe your account has been compromised. We may suspend an account where we reasonably believe it is being used fraudulently or to harm other participants.

6. Acceptable use

You must not:

  • Submit false, misleading, or materially incomplete financial information.
  • Upload malicious code, attempt to access another user's records, or probe the platform's security without written authorisation.
  • Scrape, republish, or redistribute confidential listing information.
  • Use the marketplace to circumvent an agreed commission with a counterparty introduced through it.
  • Attempt to identify an anonymised seller through inference, aggregation, or outside data sources in order to transact outside the marketplace.
  • Impersonate another person or entity, or misrepresent your authority.

7. Confidentiality

Confidential listing detail, seller identities, documents, and deal-room communications are confidential. Your obligations are set out in the Non-Disclosure, Non-Circumvention and Fee Protection Agreement and the Buyer Participation Terms.

The deal-room message filter blocks direct-coordinate exchanges. It is a deterrent and audit layer, not a security certification, and it is not escrow. Blocked attempts are recorded and reviewed.

8. Commission

Brokerage commission is calculated on the Double Lehman marginal scale described in the Commission and Transaction Terms. The calculator on this site produces an estimate. The commission that actually applies is the one set out in a signed brokerage agreement between the relevant parties.

9. Third-party information

The comparison pages on this site describe other operators using their publicly published pricing and help pages, with sources cited and an evidence label on each fee claim. That information may become out of date. Nothing on those pages is an endorsement, a partnership, or a statement made on behalf of the operators described.

10. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, or consequential loss, or for lost profits, lost opportunity, or loss of data arising from your use of the marketplace. We do not warrant uninterrupted or error-free operation.

To be completed before use: a lawyer must set the liability cap, the carve-outs required in the relevant jurisdiction, and whether consumer protections limit these clauses. The paragraph above is not legal advice and may be unenforceable as written.

11. Governing law and disputes

The governing law, the courts with jurisdiction, and the dispute resolution process are not yet determined. They must be specified before these terms are relied upon. Publishing terms without a governing law creates uncertainty for both parties.

12. Changes and termination

We may change these terms and the marketplace. Material changes should be notified. You may stop using the marketplace at any time; obligations of confidentiality and any accrued fee obligations survive termination.
