Legal — draft

Buyer Participation Terms

AURA CAPITAL is a marketplace brand operated by Nexus Acquisitions, a sole proprietorship. This document is a draft prepared for this build.

Last updated 21 October 2026 · Version draft-1

Draft — not lawyer-reviewedThis document is a working draft template prepared for this build. It has not been reviewed by a qualified lawyer in any jurisdiction, it does not yet identify the governing jurisdiction or the contracting parties, and it must not be relied upon as a binding agreement. Before any real transaction, a qualified legal professional must complete, adapt, and approve it.

1. Scope

These terms govern your application for buyer access and your use of confidential listing information obtained through AURA CAPITAL.

2. Declared capital

The minimum declared allocation is $250,000.00. The field is labelled "Verified Liquidity Allocation Pool (Minimum $250,000 USD)" for continuity with the marketplace specification.

Despite that label, entering an amount does not verify it. At application, capital is recorded as declared, not verified. It is not proof of funds. Verification, where required, is a separate documented step involving evidence requested by a reviewer.

3. Approval is discretionary

Submitting an application does not grant access. No badge, listing detail, or introduction is unlocked automatically on submission. A person reviews the application and records a decision.

4. Confidentiality acknowledgment

You must actively accept the following before submitting, and the checkbox is never pre-checked:

By submitting, I legally bind my corporate entity to the Non-Disclosure, Circumvention, and Fee Protection Agreement governing the Double Lehman Commission Scale.

Acceptance is recorded with the agreement version (NC-FPA-2026.1), a UTC timestamp, and the requesting IP address. It is evidence that you accepted the stated terms.

It does not, by itself, create an enforceable agreement binding an entity you have no authority to represent. A real transaction requires identified contracting parties, confirmed signatory authority, and a specified governing law. You confirm in the application that you have authority to accept on behalf of the entity you name, or that you are applying personally.

5. Permitted use of confidential information

You may use confidential listing information solely to evaluate a potential acquisition. You must not:

  • Republish, redistribute, or disclose it to anyone outside your evaluation team.
  • Use it to contact a seller outside the platform.
  • Use it to identify an anonymised seller and transact directly to avoid the brokerage commission.
  • Aggregate it to build a competing dataset.

6. Non-circumvention

Where a seller is introduced to you through the marketplace, you must not complete a transaction with that seller outside the marketplace in order to avoid the commission that would otherwise be payable. The full terms are in the Non-Disclosure, Non-Circumvention and Fee Protection Agreement.

The deal-room message filter implements a technical control for this. It is a deterrent and audit layer, not a security certification, and it is not escrow. Technical controls do not replace contractual obligations.

7. No advice, no guarantee

Nothing provided through the marketplace is legal, tax, accounting, or investment advice. Figures disclosed by a seller are self-reported unless specifically labelled otherwise. You are responsible for your own due diligence and for obtaining independent advice.

8. What remains to be specified

To be completed before use: the duration of confidentiality obligations, the fee payable on circumvention, the jurisdiction and forum, the enforcement mechanism, and whether a buyer subscription or access fee applies (currently none).
