Legal — draft

Commission and Transaction Terms

AURA CAPITAL is a marketplace brand operated by Nexus Acquisitions, a sole proprietorship. This document is a draft prepared for this build.

Draft — not lawyer-reviewedThis document is a working draft template prepared for this build. It has not been reviewed by a qualified lawyer in any jurisdiction, it does not yet identify the governing jurisdiction or the contracting parties, and it must not be relied upon as a binding agreement. Before any real transaction, a qualified legal professional must complete, adapt, and approve it.

1. The scale

Commission is calculated on the Double Lehman sliding scale. Each rate applies marginally to the portion of the sale price inside its band — never as one flat rate on the total.

Portion of sale priceRate
First $1,000,00010%
Next $1,000,0008%
Next $1,000,0006%
Next $1,000,0004%
Every dollar above $4,000,0002%

2. Formal definition

For a sale price P, the commission C(P) is:

C(P) = 0.10 × min(P, 1,000,000)
     + 0.08 × min(max(P − 1,000,000, 0), 1,000,000)
     + 0.06 × min(max(P − 2,000,000, 0), 1,000,000)
     + 0.04 × min(max(P − 3,000,000, 0), 1,000,000)
     + 0.02 × max(P − 4,000,000, 0)

3. Precision

All arithmetic is performed in integer cents. Each band is rounded to the nearest cent and then summed. No floating-point representation is used for monetary values, so published results reproduce exactly to the cent. The automated test suite asserts seven published cases on every build.

4. Worked examples

$10,000,000.00$400,000.00$9,600,000.00

5. What the net figure excludes

The "net payout" figure is sale price minus brokerage commission and nothing else. It excludes, at minimum: income tax, capital gains tax, VAT or sales tax, legal fees, accounting fees, valuation costs, escrow or transfer charges, bank charges, currency conversion costs, platform or listing fees charged by third parties, and any separately agreed deduction.

6. Estimate versus the executed agreement

The calculator is an estimator provided for planning. It does not create a fee obligation and does not bind either party. The commission that applies to an actual transaction is the one set out in a signed brokerage agreement, which may contain different terms negotiated in writing.

7. Settlement

The settlement route shown in the calculator — International SWIFT Wire Transfer to First National Bank (FNB) Namibia — is a proposed configuration. No beneficiary account is linked, no escrow arrangement exists, and no transfer capability is enabled.

SWIFT is a financial messaging network used by banks to instruct transfers. It does not hold funds, does not provide buyer protection, and does not guarantee that a payment will be made or that an asset will transfer. Any statement describing a SWIFT route as "settlement protection" would be misleading.

8. What remains to be specified

To be completed before use: which party bears the commission, the payment mechanism and timing, minimum commission (currently none), the treatment of a deal that completes after withdrawal, the refund and termination provisions, the contracting parties, and the governing law.
